Terms of Service

These Terms of Service ("Terms") govern your use of the BehaviorGraph platform ("Service") provided by Lead Tech, Inc. ("Company," "we," or "our"), a New York corporation. The Service is developed by Tenrise LLC and commercially operated by Lead Tech, Inc. Both entities share the same founding team. By using the Service, you agree to these Terms.

1. The Service

BehaviorGraph is a behavioral context layer for enterprise AI. The Service processes organizational metadata to produce context that AI systems can query for routing, escalation, and people context. The Service operates on metadata and behavioral patterns. It does not process message content, email bodies, or document text.

2. Your Account

You are responsible for maintaining the security of your account credentials and for all activity under your account. You agree to use the Service in compliance with applicable laws.

3. Acceptable Use

You agree not to:

  • Reverse engineer or attempt to extract the source code of the Service
  • Use the Service to make automated hiring, termination, or individual performance evaluation decisions
  • Attempt to re-identify individuals from coded identifiers for adverse employment purposes
  • Sublicense or resell access to the Service without our written consent
  • Transmit malicious code or attempt to disrupt the Service

4. Data

You retain ownership of your data. We process your data to provide the Service.

We may use aggregated, de-identified data that does not identify you or any individual to improve the Service, develop new features, and refine our models. This is standard practice for how we make the platform better for all customers.

We do not sell your data. We do not share individual-level customer data with other customers.

5. Intellectual Property

The Service, including its algorithms, models, and software, belongs to us. Your data belongs to you. Context outputs generated from your data may be used by you for your business purposes.

6. Fees

Fees are specified in your Order Form or agreement. Unless otherwise stated, fees are billed annually and are non-refundable except as required by law or as specified in your agreement.

7. Disclaimer

THE SERVICE IS PROVIDED "AS IS." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. THE SERVICE PROVIDES CONTEXT TO SUPPORT HUMAN DECISION MAKING. IT DOES NOT REPLACE PROFESSIONAL JUDGMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

We will defend you against third-party claims that the Service infringes U.S. intellectual property rights, provided you notify us promptly and cooperate in the defense. You will defend us against claims arising from your misuse of the Service or violation of these Terms.

10. Term and Termination

Either party may terminate for material breach with thirty (30) days written notice and opportunity to cure. Upon termination, your access ceases and we will delete your data within a reasonable period, unless otherwise required by law.

11. Assignment and Change of Control

Neither party may assign this agreement without consent, except in connection with a merger, acquisition, or sale of substantially all assets. In the event of a change of control of Company, the acquiring entity assumes all obligations under these Terms. We will notify you of any such change.

12. Governing Law

These Terms are governed by the laws of the State of New York. Disputes shall be resolved through binding arbitration administered by JAMS in New York. Either party may seek injunctive relief in court to protect intellectual property or confidential information.

13. Changes

We may update these Terms from time to time. We will notify you of material changes at least thirty (30) days in advance. Continued use of the Service constitutes acceptance.
